PURPOSE OF THIS AGREEMENT

Welcome to ALFAdemics.com ("ALFAdemics," "we," "our," or "us"). We look forward to helping you start your residential assisted living facility. This Agreement sets forth your rights and obligations as a ALFAdemics user. By clicking “I Agree,” you confirm that you have read, understood, and agree to be bound by the terms outlined in this Agreement.

IMPORTANT: PLEASE READ THESE TERMS AND CONDITIONS OF USE & SALE CAREFULLY BEFORE ACCESSING, USING, SUBSCRIBING, OR PLACING AN ORDER OVER WWW.ALFADEMICS.COM. THESE TERMS CONTAIN DISCLAIMERS OF WARRANTIES AND LIMITATIONS OF LIABILITIES (SEE SECTIONS 11, 12, 16, 17, 18, AND 19). THESE TERMS FORM AN ESSENTIAL BASIS OF OUR AGREEMENT. PLEASE PRINT AND RETAIN A COPY OF THIS AGREEMENT FOR YOUR RECORDS.

The use of www.ALFAdemics.com (the "Website"), owned and operated by ALFAdemics, is governed by the terms and conditions set forth below. By accessing, using, subscribing, or placing an order over the Website, you and your business agree to comply with and be bound by these Terms. If you do not agree to these terms in their entirety, you are not authorized to use the Website in any manner.

THIS AGREEMENT IS A BINDING CONTRACT BETWEEN YOU AND ALFADEMICS. THESE TERMS AND CONDITIONS OF USE & SALE (“TERMS”), TOGETHER WITH OUR PRIVACY POLICY, FORM A LEGAL AGREEMENT (“AGREEMENT”) GOVERNING YOUR ACCESS TO AND USE OF THE WEBSITE AND THE SERVICES PROVIDED BY ALFADEMICS, ANY ORDER YOU PLACE THROUGH THE WEBSITE OR OTHER ACCEPTED METHOD, AND YOUR USE OR ATTEMPTED USE OF THE PRODUCTS OR SERVICES OFFERED ON OR AVAILABLE THROUGH THE WEBSITE.

THIS AGREEMENT CONTAINS ARBITRATION AND CLASS ACTION WAIVER PROVISIONS, WHICH WAIVE YOUR RIGHT TO A COURT HEARING, A JURY TRIAL, AND YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION. ARBITRATION IS MANDATORY AND IS THE EXCLUSIVE REMEDY FOR ANY AND ALL DISPUTES UNLESS OTHERWISE SPECIFIED BELOW IN SECTION 18.

ALFAdemics reserves the right to update and modify these Terms and documents incorporated by reference from time to time. It is your responsibility to review this page periodically for any changes. You can find the most recent version of these Terms at Terms of Service. By continuing to use the Website after any changes are posted, you accept the updated Terms. Any new features or tools added to the Website will also be governed by these Terms.

SECTION 1 – WEBSITE USE

The Website is intended for business owners who are at least 18 years of age or the legal age of majority in their jurisdiction (whichever is greater). By using the Website, you affirm that you meet these criteria, operate a business, have the legal capacity to enter into a binding contract with us, and have read and agree to these Terms.

SECTION 2 – WEBSITE USER CONDUCT AND RESTRICTIONS – LICENSE TERMS

All content on the Website, including information, text, images, video, trademarks, logos, designs, and software, is protected by intellectual property laws. You may not copy, reproduce, distribute, publish, or transmit any content without the express written permission of ALFAdemics. Use of ALFAdemics' trademarks or copyrighted content is strictly prohibited.

ALFAdemics grants you a revocable, limited, non-exclusive, non-sublicensable, and non-transferable license to use the Website as long as you comply with these Terms. You do not acquire any ownership rights in the content or materials provided.

If you purchase a subscription to ALFAdemics software, you receive a limited license to use the software, subject to compliance with the terms specified. Unauthorized modification, distribution, or commercial exploitation of the software is prohibited.

You agree not to engage in any unlawful activities or violate the rights of others while using the Website. This includes, but is not limited to:

Harmful Acts: No violation of the law, hacking, or unethical practices.

Spam: No unsolicited communications or "spamming."

Offensive Content: No harmful, profane, or discriminatory content.

Sensitive Information: No uploading of sensitive personal data, including social security numbers or financial information.

Illegal Business Practices: No promoting illegal activities or infringing intellectual property rights.

ALFAdemics requires all users to follow these best practices for electronic communications and conduct business legally and ethically.

SECTION 3 – OUR PRIVACY POLICY AND YOUR PERSONAL INFORMATION

Your submission of personal information is governed by our Privacy Policy, which is incorporated by reference into these Terms. ALFAdemics reserves the right to update the Privacy Policy as needed.

SECTION 4 – INFORMATION YOU PROVIDE; REGISTRATION; PASSWORDS; PROHIBITION AGAINST HOSTING THIRD-PARTY AGENCY ACCOUNTS

As an ALFAdemics user, you will be required to create an account with ALFAdemics. You warrant that the information you provide us is truthful and accurate, and that you are not impersonating another person. You are responsible for maintaining the confidentiality of any password you may use to access your ALFAdemics user account, and you agree not to transfer your password or user name, or lend or otherwise transfer your use of or access to your user account, to any third party. So called “agency accounts,” or accounts in which you host funnels for third parties, are prohibited. Should your usage data indicate, in ALFAdemics’ sole and exclusive discretion, that you are operating an agency account, you will be subject to cancellation of your ALFAdemics user account or enhanced pricing for your ALFAdemics user account, at ALFAdemics’ sole and exclusive discretion. You are fully responsible for all transactions with, and information conveyed to, ALFAdemics under your user account. You agree to immediately notify ALFAdemics of any unauthorized use of your password or user-name or any other breach of security related to your user account. You agree that ALFAdemics is not liable, and you will hold ALFAdemics harmless, for any loss or damage arising from your failure to comply with any of the foregoing obligations. Please see Section 21 below for additional information.

SECTION 5 – ORDER PLACEMENT AND ACCEPTANCE

If you order a service or product, payment must be received by us before your order is accepted. We may require additional information regarding your order if any required information was missing or inaccurate and may cancel or limit an order any time after it has been placed. Your electronic order confirmation, or any form of confirmation, does not signify our acceptance of your order. You must contact us immediately at suppport@ALFAdemics.com to modify or cancel your pending order. We cannot guarantee that we will be able to amend your order in accordance with your instructions.

All items are subject to availability. We will notify you if any item is not available, the expected availability date, and may offer you an alternative product or service. If the availability of any product or service is delayed and you do not wish to substitute the product or service, upon your request, we will cancel your order and if previously charged, your payment card will be fully refunded for that specific order. We reserve the right to limit the sales of our products and services to any person, geographic region, or jurisdiction. We may exercise this right on a case-by-case basis at our sole and exclusive discretion.

Your purchase order of products and other services is conditioned on you re-affirming your acceptance of this Agreement.

All advertised prices are in, and all payments shall be in, U.S. Dollars.

SECTION 6 – REFUNDS FOR HARD GOODS

Refunds for any physical products purchased through the Website are subject to the terms outlined in the product-specific return policy. You may return the product within the specified period (e.g., 30 days) from the date of delivery, provided that the product is in its original, unopened, and unused condition. Products that have been opened, damaged, or altered may not be eligible for a refund. Please refer to the specific return policy of the product you purchased for further details.

SECTION 7 – AUTOMATIC ENROLLMENT AND PAYMENT, AND CANCELLATION

If you sign up for a subscription or service that is subject to recurring payments, your enrollment will automatically renew at the end of each billing cycle unless you cancel prior to the renewal date. You agree to pay the recurring fees at the specified intervals, and you authorize ALFAdemics to charge your payment method on file for each renewal. If you wish to cancel your subscription, you must do so before the renewal date to avoid being charged for the next billing period.

SECTION 8 – SUBSCRIPTION TERMS AND AUTOMATIC PAYMENT

By subscribing to a service on the Website, you agree to pay all fees associated with your subscription, including any taxes and additional charges, in accordance with the pricing and payment terms. Unless otherwise specified, payments will be automatically charged to the payment method you provided at the time of subscription. Subscriptions are non-refundable, and you acknowledge that no partial refunds will be issued for any unused portion of a subscription term.

SECTION 9 – SHIPPING FEES

Shipping fees for physical products ordered through the Website will be displayed at the time of checkout. The shipping fees are calculated based on your location and the size of the order. Shipping fees are non-refundable, even if the product is returned. You agree to pay the shipping fees as part of your order, and ALFAdemics is not responsible for any delays or additional fees imposed by third-party shipping carriers.

SECTION 10 – PRODUCTS, SERVICES, AND PRICES AVAILABLE ON THE WEBSITE

ALFAdemics reserves the right to modify, add, or discontinue any products or services available on the Website at any time without prior notice. All prices for products and services are subject to change without notice. The availability and pricing of products and services are not guaranteed, and ALFAdemics is not responsible for any pricing errors or discrepancies on the Website. If an error occurs in the pricing of a product or service, ALFAdemics reserves the right to cancel or adjust the order and refund any incorrect charges.

SECTION 11 – DISCLAIMER – YOUR BUSINESS’ INDIVIDUAL RESULTS WILL VARY

While ALFAdemics provides tools, strategies, and resources to assist you in growing your business, your individual results may vary depending on various factors, including your effort, experience, and market conditions. ALFAdemics does not guarantee any specific outcomes, financial results, or success. Any testimonials, case studies, or examples of success shared on the Website are for informational purposes only and do not represent a guarantee of your own results.

SECTION 12 – YOUR RESPONSIBILITIES IN RUNNING YOUR BUSINESS

As a user of ALFAdemics' services, you are solely responsible for the operation, management, and success of your own business. ALFAdemics does not control or influence how you apply the information, tools, or strategies provided, and you agree to make your own independent decisions regarding your business operations. You are responsible for complying with all applicable laws, regulations, and business practices.

SECTION 13 – COMMISSIONS PROGRAM AND INDEPENDENT ALFAdemics AFFILIATE PROGRAM

ALFAdemics offers an affiliate program that allows users to earn commissions for referring new customers. By participating in this program, you agree to comply with the specific terms and conditions governing the program, including any rules regarding the payment and calculation of commissions. You acknowledge that commissions earned through the affiliate program are subject to the terms of this Agreement and may be modified or discontinued at ALFAdemics’ discretion.

SECTION 14 – TESTIMONIALS, REVIEWS, AND PICTURES/VIDEOS

You may submit testimonials, reviews, and other content (such as pictures or videos) to ALFAdemics for inclusion on the Website or marketing materials. By submitting such content, you grant ALFAdemics a perpetual, non-exclusive, royalty-free license to use, reproduce, modify, and distribute the content in any format. You represent and warrant that any content you submit is truthful, accurate, and does not violate the rights of any third party.

SECTION 15 – COMPLIANCE WITH THE LAW, INCLUDING COMMITMENT AGAINST HARASSMENT AND INTERFERENCE WITH OTHERS

You agree to comply with all applicable laws, rules, and regulations while using the Website and participating in ALFAdemics’ services. You must not engage in harassment, bullying, or interfere with other users’ use of the Website. Any conduct that disrupts the Website or creates a negative experience for others may result in the termination of your account.

SECTION 16 – DISCLAIMERS OF OTHER WARRANTIES

To the fullest extent permitted by applicable law, ALFAdemics makes no warranties, express or implied, regarding the Website or any products or services offered. ALFAdemics does not warrant that the Website will be error-free, uninterrupted, or free of viruses or other harmful components. Your use of the Website is at your own risk.

SECTION 17 – LIMITATIONS OF LIABILITIES

In no event shall ALFAdemics be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, revenue, or data, arising out of your use or inability to use the Website, products, or services. ALFAdemics’ total liability shall not exceed the amount paid by you for the specific service or product that gave rise to the claim.

SECTION 18 – DISPUTE RESOLUTION BY MANDATORY BINDING ARBITRATION AND CLASS ACTION WAIVER

Any dispute or claim arising out of or in connection with this Agreement shall be resolved through binding arbitration, rather than in court. You agree to submit any disputes to arbitration on an individual basis, and you waive any right to participate in a class action lawsuit. The arbitration shall be conducted in accordance with the rules of the American Arbitration Association.

SECTION 19 – ALFAdemics' Additional Remedies

ALFAdemics reserves the right to seek additional remedies, including injunctive relief, in the event of a breach of this Agreement or any unlawful or harmful activity.

SECTION 20 – INDEMNIFICATION

You agree to indemnify, defend, and hold harmless ALFAdemics, its officers, directors, employees, affiliates, and agents from any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorney’s fees) arising out of or in connection with:

Your use of the Website, products, or services;

Your violation of any provision of these Terms and Conditions;

Your violation of any applicable laws or regulations, including but not limited to laws related to privacy, intellectual property, or advertising;

Any claim brought against ALFAdemics by a third party arising from your business activities or use of the services, products, or Website.

This obligation will survive the termination of these Terms and Conditions.

SECTION 21 – LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALFADEMICS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE WEBSITE, PRODUCTS, OR SERVICES, EVEN IF ALFAdemics HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL ALFAdemics' TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER THESE TERMS EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESS TO THE PRODUCTS OR SERVICES IN THE SIX (6) MONTH PERIOD PRECEDING THE CLAIM.

SECTION 22 – TERMINATION

ALFAdemics reserves the right to suspend or terminate your access to the Website, products, or services at any time, without notice, if we believe that you have violated or acted inconsistently with these Terms and Conditions or for any other reason at our sole discretion. Upon termination, your rights to use the Website, products, or services will immediately cease, and you agree to immediately stop using all materials or software provided by ALFAdemics.

Termination of your account does not affect any other rights or obligations that have accrued prior to such termination.

SECTION 23 – GOVERNING LAW AND DISPUTE RESOLUTION

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws principles. Any dispute arising out of or in connection with these Terms and Conditions shall be resolved exclusively in the competent courts located in Tx/TarrantCounty, and you hereby consent to the exclusive jurisdiction of such courts.

If a dispute arises between you and ALFAdemics, you agree to first attempt to resolve the issue through informal discussions. If informal discussions do not resolve the dispute, you agree to submit to binding arbitration, and the decision of the arbitrator(s) shall be final and binding.

SECTION 24 – ENTIRE AGREEMENT

These Terms and Conditions, together with any other legal notices or agreements published by ALFAdemics on the Website, shall constitute the entire agreement between you and ALFAdemics concerning the Website, products, and services. If any provision of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. Any failure by ALFAdemics to enforce any part of these Terms and Conditions will not be deemed a waiver of such provision.

SECTION 25 – CHANGES TO THE TERMS AND CONDITIONS

ALFAdemics reserves the right to modify, revise, or update these Terms and Conditions at any time without prior notice. When changes are made, we will update the “Effective Date” at the top of this page. Your continued use of the Website, products, or services after such changes have been made constitutes your acceptance of the new Terms and Conditions.

SECTION 26 – SEVERABILITY

If any provision of these Terms and Conditions is found by a court or arbitrator to be unlawful, void, or unenforceable, the remaining provisions of the Terms and Conditions will remain in full force and effect, and the unlawful, void, or unenforceable provision will be construed in a way that most closely aligns with the intent of the original provision, to the extent permitted by law.

SECTION 27 – ASSIGNMENT

ALFAdemics may assign or transfer these Terms and Conditions or any rights or obligations under them, in whole or in part, without notice to you. You may not assign or transfer any of your rights or obligations under these Terms and Conditions without prior written consent from ALFAdemics.

SECTION 28 – FORCE MAJEURE

ALFAdemics will not be liable for any failure or delay in the performance of its obligations under these Terms and Conditions if such failure or delay is caused by events beyond its reasonable control, including but not limited to natural disasters, war, strikes, power failures, or other events of force majeure.
